User Indemnification & Anti-Fraud Policy

Purpose
This Policy protects Concord Deal Platform from liability arising out of content, listings, and conduct that Subscribers, their agents, guest sellers, and franchisors (collectively, "Users") submit or engage in through the Platform — including fraudulent, fake, or materially misleading listings, and any claim, dispute, or litigation a third party brings because of what a User posted, represented, or did. This Policy supplements the general indemnification provisions in the Master Subscription Agreement and Terms of Service.
Core Principle
Concord provides a platform only. Concord does not create, verify, investigate, or vouch for any listing, franchise opportunity, or User communication. Responsibility for the truthfulness, accuracy, and legality of everything a User posts or says through the Platform rests entirely with that User, not with Concord.
User Indemnification Obligation
Each User agrees to indemnify, defend, and hold harmless EZ Business Advisors LLC d/b/a Concord Deal Platform, its officers, members, employees, and affiliates (the "Concord Parties") from and against any and all claims, demands, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Any listing, franchise submission, or other content the User posts that is false, fraudulent, materially misleading, or misrepresents the business, franchise opportunity, financial figures, or the User's authority to sell or list it;
- Any transaction, negotiation, or communication between the User and a buyer, seller, or prospective franchisee, including any dispute over the terms, accuracy, or outcome of that transaction;
- The User's failure to hold any license, registration, or authorization required by law to list, sell, broker, or advertise the business or franchise opportunity in question;
- Any claim that content the User uploaded (photos, logos, financial data, artwork, or descriptions) infringes a third party's intellectual property or other rights;
- Any claim by a buyer, franchisee, or other third party that they were defrauded, deceived, or financially harmed by the User's conduct or listing, including claims framed as a claim against Concord as the hosting platform;
- The User's violation of this Policy, the Terms of Service, or the Master Subscription Agreement.
Fraud, Fake Listings, and Scams — Platform Response
Concord may, at its sole discretion and without liability to any User, remove, suspend, or refuse any listing, franchise submission, or account it reasonably suspects is fraudulent, fake, a scam, or otherwise in violation of this Policy — without prior notice where Concord believes prompt action is warranted to protect other users.
Concord may cooperate with law enforcement and provide User information in response to a valid legal request concerning suspected fraud, without liability to the User for that disclosure.
Removal or suspension of a listing under this section is not an admission by Concord that it had a duty to detect the fraud in the first instance, and does not waive Concord's position that it is not responsible for verifying User-submitted content.
Reporting Suspected Fraud
Users and site visitors who encounter a listing they believe is fraudulent, fake, or a scam should report it to trust@concorddeal.com with as much detail as possible. Concord will review reports on a reasonable-efforts basis but does not guarantee investigation of, or a particular outcome for, any report.
No Warranty That Fraud Will Be Detected or Prevented
Concord does not warrant that any listing, franchise submission, or User is free of fraud, misrepresentation, or deceptive conduct. Users are solely responsible for conducting their own due diligence, including verifying financial information, business licenses, and the identity and authority of any counterparty, before entering any transaction or relying on any listing.
Interaction With General Indemnification Provisions
This Policy is incorporated by reference into the Master Subscription Agreement and the Terms of Service. Where this Policy provides more specific protection concerning fraud, fake listings, or third-party litigation arising from User content, this Policy controls.
