Terms of Service

These Terms of Service govern your access to and use of the Concord Deal Platform (the "Platform"), a business brokerage platform operated by Concord Deal Platform ("we," "us," "our"). By creating an account or using the Platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Platform in any way, including browsing public marketplace content or using broker tools, you accept these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
2. Eligibility
The Platform is intended for users who are at least 18 years old and can form a binding contract. Business brokerage services are provided only by licensed professionals as required by applicable law.
3. Account Responsibilities
- You are responsible for safeguarding your login credentials.
- You must provide accurate information and keep it current.
- You must not share or misrepresent your account identity.
- You are responsible for all activity under your account.
4. Confidentiality & Non-Disclosure
Certain materials on the Platform, including listings, CIMs, BOVs, recast reports, and financial documents, are confidential. You agree to treat all such information as confidential and not to disclose it to any third party without our prior written consent or a valid non-disclosure agreement covering the specific deal.
5. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose;
- Attempt to access or tamper with other users' data or systems;
- Circumvent, disable, or interfere with security, RLS controls, or rate limiting;
- Upload malicious code, or scrape the Platform at scale without permission;
- Misrepresent your identity, credentials, or the accuracy of any listing or valuation.
6. Marketplace Content & Listings
Listings posted on the public marketplace are informational only and do not constitute an offer or a binding sales agreement. Business details, financials, and valuations are estimates provided by sellers and brokers and are not guaranteed. You are responsible for conducting your own due diligence before entering any transaction.
7. Intellectual Property
All Platform content, software, trademarks, and design elements — including the Concord name and the navy-and-gold service mark — are owned by us or our licensors. You may not copy, reproduce, or create derivative works without written permission.
8. Disclaimers & Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform. Our aggregate liability shall not exceed the amount you paid us in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.
The Platform is a technology and matching service. It is not a party to any sale, listing agreement, or brokerage engagement between users, and it is not a buyer's or seller's agent, fiduciary, or advisor. No agency, partnership, joint venture, or employment relationship is created by use of the Platform. Brokers using the Platform are independent contractors responsible for their own licenses, obligations, and conduct.
8a. Indemnification
You agree to indemnify, defend, and hold harmless Concord Deal Platform, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your listings, content, or transactions; (d) your violation of any law or the rights of any third party; or (e) any dispute between you and another user.
8b. Arbitration & Class-Action Waiver
To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If the dispute is not resolved within thirty (30) days, it shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction. You agree that any arbitration shall be conducted on an individual basis and that you waive the right to participate in any class, collective, or representative action. You also waive the right to a jury trial to the extent permitted by law.
Opt-out: You may opt out of this arbitration provision by sending written notice within thirty (30) days of first accepting these Terms.
8c. Compliance with Law & Licensing
Users are solely responsible for complying with all applicable laws, regulations, and licensing requirements in the jurisdictions where they operate, including any real-estate, business-broker, or securities licensing requirements. Concord Deal Platform does not guarantee that any user is licensed, and users are encouraged to verify credentials with the relevant state regulator. 8d. Franchise Listings
Franchise Opportunity listings are an advertising surface only. The Platform does not sell franchises, does not act as a franchisor or franchise broker, and does not review, verify, or warrant any franchise disclosure document (FDD), Item 19 financial performance representation, or other franchise materials. The franchisor is solely responsible for their own FDD and for compliance with the Federal Trade Commission's Franchise Rule and all applicable state franchise-disclosure and registration laws. Franchise listings are provided on a paid monthly basis and may be removed at the end of the paid period.
8e. Real Property Conveyance on Combined Listings
Where a listing includes real estate, the real property portion of any transaction is handled exclusively by an independently licensed real estate professional (licensed agent or real estate attorney). Neither Concord Deal Platform nor Rabin Timsina personally closes real property transactions, and neither provides real estate brokerage services. The business purchase agreement and the real estate purchase agreement are two separate legal documents and are never blended into a single contract.
9. Termination
We may suspend or terminate your access at any time for violation of these Terms, for creating security or legal risk, or at our discretion. You may stop using the Platform at any time.
10. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in Charlotte, North Carolina.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted to this page with an updated "last updated" date. Continued use after changes constitutes acceptance.
